Bazaar-Cart Seller Agreement
The complete terms binding every seller and Bazaar-Cart. Last updated: October 17, 2026.
This Agreement is a legally binding contract. By submitting a seller application or listing products on Bazaar-Cart, you agree to all terms below. A copy is emailed to you upon application. Read each section carefully before accepting.
1. Agreement Acceptance
This Seller Agreement ("Agreement") is a legally binding contract between you ("Seller", "you") and Bazaar-Cart ("Bazaar-Cart", "we", "us", "the Platform") governing your use of the Bazaar-Cart marketplace to list, sell, and fulfill products.
By submitting a seller application, creating a seller account, or listing any product on Bazaar-Cart, you acknowledge that you have read, understood, and agreed to be bound by all terms in this Agreement. If you do not agree, you must not apply to sell or list products on the Platform.
This Agreement takes effect upon approval of your seller application and remains in effect until your seller account is closed or terminated by either party.
2. Definitions
"Platform" means the Bazaar-Cart marketplace, including its website, mobile applications, and all related services.
"Seller" means any individual or business entity approved to list and sell products on the Platform.
"Buyer" or "Customer" means any user who purchases products listed by a Seller on the Platform.
"Order" means a confirmed purchase by a Buyer for one or more products listed by a Seller.
"Commission" means the percentage of each Order total retained by Bazaar-Cart as the platform fee.
"Payout" means the remaining Order balance transferred to the Seller after Commission and any applicable fees.
3. Seller Obligations
As a Seller on Bazaar-Cart, you agree to:
a) Maintain accurate, current, and truthful information in your seller profile, including business name, contact details, and payout account information.
b) List only products that you are legally permitted to sell and that you can fulfill. Every listing must use real product images and honest, accurate descriptions that do not mislead Buyers.
c) Ship all orders within three (3) business days of payment confirmation. You must provide valid, trackable tracking numbers through your seller dashboard for every order.
d) Respond to customer messages and inquiries within forty-eight (48) hours.
e) Maintain adequate stock levels for all listed products. If an item becomes unavailable, you must mark it inactive immediately.
f) Honor the advertised price at the time of purchase. You cannot charge more after a Buyer has paid, nor can you cancel an order to relist at a higher price.
g) Accept returns for defective or incorrectly described items in accordance with Bazaar-Cart's return policy.
h) Comply with all applicable local, state, provincial, and federal laws, including consumer protection, tax, and product safety regulations.
i) Ship only to the countries you have declared your products ship to (United States and/or Canada).
4. Bazaar-Cart Obligations
Bazaar-Cart agrees to:
a) Provide Sellers with access to the Platform for listing, selling, and managing products and orders.
b) Process Buyer payments through Stripe and remit Payouts to Sellers via Stripe Connect within two (2) business days of confirmed order delivery, less the applicable Commission.
c) Provide seller dashboard tools for order management, inventory tracking, analytics, and customer communication.
d) Offer customer support channels for both Buyers and Sellers, and mediate disputes in good faith.
e) Maintain the Platform with reasonable uptime and notify Sellers of planned maintenance that may affect order processing.
f) Protect Seller business data in accordance with our Privacy Policy and not share Seller contact information with third parties for marketing purposes without consent.
5. Commission, Fees, and Payouts
a) Commission: Bazaar-Cart charges a flat ten percent (10%) commission on the total Order amount (including shipping) for each completed sale. This is the only fee deducted from your Payout.
b) Listing Fees: There are no fees to list products on the Platform. You may list unlimited products at no charge.
c) Per-Order Fees: There are no per-order or transaction fees beyond the 10% commission.
d) Payouts: Payouts are processed through Stripe Connect. After a Buyer's payment is confirmed and the order is marked delivered, the Payout (Order total minus 10% commission) is transferred to your connected Stripe account within two (2) business days.
e) Chargebacks and Refunds: If a Buyer initiates a chargeback or is issued a refund due to Seller error or non-fulfillment, the refund amount and any chargeback fees will be deducted from your Payout balance. If your balance is insufficient, you will owe Bazaar-Cart the remaining amount.
f) Taxes: Sellers are responsible for collecting and remitting any applicable sales taxes. Bazaar-Cart may use Stripe Tax to calculate taxes at checkout on the Seller's behalf where required.
6. Product Listings and Prohibited Items
a) You may list products in any category supported by the Platform, provided the product is legal to sell and ship to the Buyer's destination.
b) Prohibited products include, but are not limited to: counterfeit or replica goods, stolen items, illegal drugs and drug paraphernalia, weapons and firearms, explosives, tobacco and nicotine products (unless age-restricted categories apply), prescription medications, live animals, hazardous materials, and any product that infringes another party's intellectual property rights.
c) Age-restricted products (where supported by the Platform) require age verification at checkout. You are responsible for ensuring age-restricted items are marked correctly.
d) All product images must be your own or properly licensed. You may not use another seller's images or stock photos that misrepresent the actual product.
e) Bazaar-Cart reserves the right to remove any listing that violates this Agreement or applicable law, without prior notice.
7. Fulfillment and Shipping Standards
a) You must ship orders within three (3) business days of payment confirmation. Failure to ship within this window without communication may result in order cancellation and a refund to the Buyer.
b) Every shipment must include a valid, trackable tracking number uploaded to your seller dashboard. Orders without tracking are not eligible for Payout until tracking is provided.
c) You are responsible for all shipping costs unless the product is marked as free shipping. Free shipping designations must be accurate and honored.
d) You must ship to the destination address provided at checkout. You may not redirect shipments to alternate addresses or require Buyers to pick up from alternate locations.
e) If a shipment is lost, damaged, or delayed, you are responsible for resolving the issue with the carrier and communicating with the Buyer. Bazaar-Cart may issue a refund to the Buyer at its discretion if the issue is not resolved promptly.
f) You must declare accurate shipping destinations (US and/or Canada) for each product. You may not list a product as shipping to a country you do not ship to.
8. Customer Service and Returns
a) You must respond to Buyer messages within forty-eight (48) hours through the Platform's messaging system.
b) You must accept returns for defective items, items that do not match the listing description, and items damaged in shipping, in accordance with Bazaar-Cart's return policy.
c) Return shipping costs for defective or incorrectly described items are the Seller's responsibility. Return shipping for Buyer's remorse (no longer needed, wrong size) may be the Buyer's responsibility at your discretion.
d) You may not refuse a legitimate return request, threaten a Buyer, or offer off-Platform compensation to suppress negative reviews.
9. Anti-Fraud and Scam Policy
Bazaar-Cart maintains zero tolerance for seller fraud. The following actions are strictly prohibited and constitute a material breach of this Agreement:
a) Non-fulfillment: Charging a Buyer and never shipping the product, or shipping an empty package, a package containing a different item, or a worthless item.
b) Counterfeit or fake products: Selling knock-offs, replicas, or items that do not match the listing description, brand, or quality claims.
c) Product misrepresentation: Using images, specifications, or descriptions that do not match the actual item shipped.
d) Chargeback fraud: Intentionally provoking payment disputes, manipulating the payment system, or colluding with Buyers to generate fraudulent chargebacks.
e) Customer data abuse: Harvesting, selling, sharing, or misusing Buyer shipping addresses, contact information, or purchase data for any purpose outside of fulfilling the order.
f) Shill reviews: Posting fake reviews on your own storefront, paying for fake reviews, or posting false negative reviews on competitors' storefronts.
g) Off-Platform solicitation: Directing Buyers to purchase outside the Platform to evade Commission or avoid Platform protections.
Consequences of fraud: If a Seller is found to have scammed a Buyer or engaged in any prohibited activity above, Bazaar-Cart will:
1) Immediately and permanently suspend the Seller's account.
2) Freeze and withhold all pending Payouts.
3) Issue a full refund to the affected Buyer from the Seller's balance.
4) Charge the Seller a five hundred dollar ($500) administrative fee per confirmed fraud incident.
5) Hold the Seller liable for all chargeback costs, refund amounts, and administrative fees.
6) Cooperate with law enforcement, payment processors, and regulatory authorities, and pursue civil and criminal action as appropriate.
Sellers acknowledge that Bazaar-Cart may deduct all fraud-related costs from any pending or future Payout balance, and may pursue collection for any remaining amount owed.
10. Data and Privacy
a) You may only use Buyer data (name, shipping address, contact information) for the purpose of fulfilling the specific order. You may not retain, reuse, or share Buyer data for marketing, resale, or any other purpose.
b) Bazaar-Cart collects and processes Seller business data in accordance with our Privacy Policy. We do not sell Seller data to third parties.
c) You are responsible for maintaining the security of your seller account credentials. You must not share your login with third parties. All activity under your account is your responsibility.
d) If you suspect unauthorized access to your account, you must notify Bazaar-Cart immediately.
11. Intellectual Property
a) You retain ownership of your product images, descriptions, and brand materials that you upload to the Platform.
b) You grant Bazaar-Cart a non-exclusive license to display your listings, images, and store information on the Platform and in Platform marketing materials, including promotional ads and search results.
c) You warrant that all content you upload does not infringe the intellectual property rights of any third party. You are solely responsible for any claims of infringement arising from your listings.
d) Bazaar-Cart reserves the right to remove any listing that is the subject of a credible intellectual property complaint.
12. Account Suspension and Termination
a) Bazaar-Cart may suspend or terminate a Seller account at any time for violation of this Agreement, fraudulent activity, repeated Buyer complaints, or any action that harms the Platform or its users.
b) Bazaar-Cart will provide notice of suspension or termination via email where feasible, except in cases of suspected fraud where immediate suspension is necessary to protect Buyers.
c) Sellers may close their account at any time by contacting Bazaar-Cart, provided all outstanding orders have been fulfilled and all pending disputes resolved.
d) Upon termination, any pending Payouts may be held for up to ninety (90) days to cover potential chargebacks, refunds, or disputes. Remaining balances will be released after this period.
e) Suspended Sellers forfeit pending Payouts until the matter is resolved. Permanently terminated Sellers for fraud forfeit all pending Payouts.
13. Liability and Indemnification
a) Bazaar-Cart is a platform that connects Buyers and Sellers. We are not a party to the sale between you and the Buyer, and we do not take ownership of your products.
b) You are solely responsible for the products you sell, their quality, safety, and compliance with all applicable laws. Bazaar-Cart is not liable for any harm caused by your products.
c) You agree to indemnify and hold harmless Bazaar-Cart, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your products, listings, fulfillment, or breach of this Agreement.
d) Bazaar-Cart's total liability to any Seller under this Agreement is limited to the total Commission paid by that Seller in the twelve (12) months preceding the claim.
e) In no event is Bazaar-Cart liable for indirect, incidental, special, or consequential damages.
14. Dispute Resolution
a) In the event of a dispute between a Seller and Bazaar-Cart, both parties agree to first attempt to resolve the dispute through good-faith negotiation within thirty (30) days.
b) If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration administered under the commercial arbitration rules applicable in the Seller's jurisdiction, rather than through court litigation.
c) Class action lawsuits and class-wide arbitrations are not permitted; any arbitration will be on an individual basis.
d) Disputes between a Seller and a Buyer should first be addressed through the Platform's dispute resolution process. Bazaar-Cart may mediate but is not a party to Seller-Buyer disputes.
15. Modifications to this Agreement
a) Bazaar-Cart may modify this Agreement at any time. Material changes will be communicated to active Sellers via email at least fourteen (14) days before they take effect.
b) Continued use of the Platform after the effective date of any modification constitutes acceptance of the updated Agreement.
c) If you do not agree to a modification, you may close your account as described in Section 12. You remain responsible for fulfilling all outstanding orders.
16. Governing Law
a) This Agreement is governed by the laws of the United States and Canada, without regard to conflict of law principles.
b) For Sellers located in the United States, the laws of the state in which the Seller's business is registered apply.
c) For Sellers located in Canada, the laws of the province in which the Seller's business is registered apply.
d) This Agreement constitutes the entire agreement between Bazaar-Cart and the Seller regarding the subject matter herein and supersedes all prior agreements and understandings.
